Scope
From our Contract and ToS (abridged version for character length): 1. Subscriber Data a. Ownership: Subscriber’s data is owned Subscriber at all times during agreement. This includes all data collected, used, processed, stored, or generated through Kizen’s Services. This also includes PII, and all identifiable information. b. Provider Use: Provider has limited license to Subscriber Data, only to perform Services enumerated, and will not use, sell, rent, transfer, distribute, or otherwise disclose Subscriber Data unless compelled to by law. Provider keeps data using care in accordance with security practices as outlined in security documentation. c. Backup and Recovery: Provider maintains a backup of Subscriber Data in order to provide orderly and timely recovery (< 1day) in an event that Services are interrupted. Backups are made to a “hardened” facility no less than daily, and are not counted in calculated storage for Subscriber. d. Surrender Upon Termination: Upon termination, within 5 calendar days, all information will be returned to the owning party’s possession, custody, or control. At the request of Subscriber, Provider will delete all backups of data. 2. Non-Disclosure of Confidential Information: Each party may be exposed to or acquire confidential information, and shall not be disclosed to third parties a. Obligation of Confidentiality: Confidential Information will not be copied, reproduced, sold, transferred, or otherwise disposed of, and will not be distributed to third parties other than employees, agents, and subcontractors who have a need to know in order to perform the Agreement. Requirements are laid out in how to keep all information confidential. b. Cooperation to Prevent Disclosure: Best efforts will be made to assisting and preventing unauthorized use or disclosure. The other party will be advised in the event there’s believed to have been a breach, and the parties will work together to resolve it. c. Surrender of Confidential Information Upon Termination: Upon termination, within 5 calendar days, all information will be returned to the owning party’s possession, custody, or control. 3. Data Privacy and Information Security a. Undertaking by Provider: Provider shall be responsible for establishing and maintaining a data privacy and information security program, including physical, technical, administrative, and organizational safeguards, that is designed to: (a) ensure the security and confidentiality; (b) protect against any anticipated threats or hazards to security or integrity; (c) protect against unauthorized disclosure, access to, or use of data; (d) ensure the proper disposal of data. b. Audit by Provider: Comprehensive third-party audits of data privacy and information security programs will occur no less than annually. c. Right of Review by Subscriber: Subscribers have the right at any time to review Provider’s data privacy and information security policy. Within 45 days of receipt, an audit questionnaire will be filled out by Provider. d. Audit Findings: After each audit, Provider shall implement safeguards to ensure data privacy and information security. e. Third Party Links: Our Service may contain links to third-party web sites or services that are not owned or controlled by Provider. Kizen Technologies, Inc. has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites and advise Subscribers read terms and conditions and privacy policies of any third-party websites. 4. Proprietary Rights for Content Published through Kizen: Subscriber can post, link, store, share, and otherwise generate content through the platform. Subscriber is responsible for content posted through the platform. Provider has the right to monitor and edit content if it is deemed inappropriate.
